1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "Merchant", "you") and Arveth Multi-Concept ("the Company", "we", "us"), operating through its technology subsidiary, Arveth Technologies, governing your access to and use of the ArvethPay digital payment gateway ("ArvethPay", the "Service"), available via our official website at arveth.com.ng and the ArvethPay application hosted at https://arvethpay.vercel.app/. By creating an account, integrating the ArvethPay gateway, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
2. Description of Service
ArvethPay is a digital payment gateway that enables individuals and businesses in Nigeria to send, receive, verify, and reconcile payments through supported channels, including bank transfer verification, receipt validation, and integration with licensed third-party payment processing partners. The Company reserves the right to modify, suspend, or discontinue any feature of the Service, in whole or in part, at any time, with or without notice, subject to applicable law.
3. Eligibility
To use the Service, you must:
- Be at least eighteen (18) years of age or the age of majority in your jurisdiction.
- Have the legal capacity to enter into a binding contract.
- Not be barred from using payment or financial services under any applicable law, including sanctions, anti-money-laundering, or counter-terrorism-financing regulations.
- If registering on behalf of a business, have the authority to bind that business to these Terms.
4. Account Registration and Verification (KYC)
You agree to provide accurate, current, and complete information during registration and to promptly update such information if it changes. You may be required to complete identity verification (KYC), including submission of BVN, NIN, and/or government-issued identification, in accordance with CBN requirements. The Company reserves the right to suspend or restrict any account pending satisfactory verification, and to reject or limit accounts that fail to meet KYC standards.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify the Company immediately of any unauthorized use or suspected security breach.
5. User Obligations and Acceptable Use
You agree that you will not:
- Use the Service for any unlawful purpose, including money laundering, terrorism financing, fraud, or the sale of prohibited or illegal goods and services.
- Attempt to circumvent, disable, reverse-engineer, or interfere with any security, verification, or bot-mitigation feature of the Platform, including the Cloudflare Turnstile challenge or the Platform's source-protection mechanisms.
- Submit falsified, forged, or manipulated payment receipts or verification documents.
- Use automated means (bots, scripts, scrapers) to access the Service without our prior written consent.
- Engage in chargeback fraud, transaction laundering, or any activity that misrepresents the true nature of a transaction.
- Infringe upon the intellectual property, privacy, or other rights of the Company or any third party.
6. Payment Processing, Fees, and Settlement
Transactions initiated through the Service may be processed via licensed third-party payment processing partners. You acknowledge that such partners have their own terms and compliance requirements, which may apply in addition to these Terms. Applicable transaction fees, service charges, and settlement timelines will be disclosed to you prior to completion of a transaction or as published on the Platform, and may be updated from time to time with reasonable notice.
The Company reserves the right to withhold, delay, reverse, or decline any transaction that it reasonably suspects to be fraudulent, erroneous, unauthorized, or in violation of these Terms or applicable law, pending investigation.
7. Receipt Verification and Manual Review
The Service may employ automated tools (including optical character recognition) to assist in verifying payment receipts. Automated verification is provided for efficiency purposes only and does not guarantee accuracy; transactions falling below the Platform's confidence threshold, or otherwise flagged, will be subject to manual review, which may delay confirmation or settlement.
8. Intellectual Property
All content, software, trademarks, logos, and other intellectual property associated with the Service, including the ArvethPay name and brand, are the exclusive property of Arveth Multi-Concept and/or its subsidiary, Arveth Technologies, or their respective licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. No other rights are granted, and you may not copy, modify, distribute, or create derivative works from any part of the Service without prior written consent.
9. Third-Party Services and Integrations
The Service integrates with third-party infrastructure and payment providers to deliver its functionality. The Company is not responsible for the acts, omissions, availability, or performance of independent third-party providers, although we take reasonable steps to engage reputable, compliant partners. Your use of any third-party service accessed through the Platform may be subject to that provider's own terms and privacy policy.
10. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AND ERROR-FREE OPERATION. The Company does not guarantee that the Service will be free from delays, errors, or security vulnerabilities, although we maintain reasonable safeguards as described in our Data Compliance Policy.
11. Limitation of Liability
To the maximum extent permitted by applicable law, the Company, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service, even if advised of the possibility of such damages. The Company's aggregate liability for any claim arising from these Terms or the Service shall not exceed the total fees paid by you to the Company in the six (6) months preceding the event giving rise to the claim, except where such limitation is prohibited by applicable Nigerian consumer protection law.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your misuse of the Service, or your violation of any applicable law or third-party right.
13. Suspension and Termination
The Company may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by a regulatory or law enforcement authority, or if we reasonably suspect fraudulent, unlawful, or harmful activity. You may close your account at any time by contacting support, subject to settlement of any outstanding obligations. Provisions that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.
14. Force Majeure
The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, internet or telecommunications outages, power failures, regulatory action, civil unrest, or failures of third-party payment or infrastructure providers.
15. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in accordance with the Arbitration and Mediation Act, 2023, seated in Asaba, Delta State, Nigeria, conducted in the English language, with the arbitral award being final and binding on the parties, save for matters that by law must be resolved before a court of competent jurisdiction in Nigeria.
16. Amendments to These Terms
The Company may revise these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. We will provide reasonable notice of material changes via the Platform or by email, and will update the "Effective Date" accordingly. Your continued use of the Service after such changes take effect constitutes your acceptance of the revised Terms.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and Data Compliance Policy, constitute the entire agreement between you and the Company regarding your use of the Service, and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
